Elections and Personnel Committee Meeting

Call to Order:
The Yuma County Airport Authority, Inc. (YCAA) Elections and Personnel Committee Meeting of the Board of Directors was called to order at 1:00PM on August 28, 2019 in the Yuma International Airport Conference Room, 2191 E. 32nd Street, Suite 218, Yuma, Arizona 85365. The Presiding officer was Randall Nelson, Chairman.
YCAA ELECTIONS AND PERSONNEL COMMITTEE MEMBERS PRESENT WERE:

Dr. Brian Cullen, DMD, Director
Stanley Gourley, Director (attended the meeting telephonically)
YCAA ELECTIONS AND PERSONNEL COMMITTEE MEMBERS ABSENT WERE:
None
ALSO PRESENT WERE:
Albert Gardner, 1st Vice President (joined the meeting at 1:18PM)
Gladys Brown, Airport Director
Gerald Hinkle, Jr., Chief Financial Officer
Andrea Lopez, Executive Assistant

There were no Public Comments.
REGULAR AGENDA
1) Election and Personnel Committee discussion, possible recommendation, and update on advertisement and procedures for the vacancies on the YCAA Board of Directors.
Ms. Brown described the Committee’s role in the election process, which is established in the Authority’s By-Laws. The members of the Committee discussed the application, the vetting process and the informational presentation available to interested parties. Ms. Brown explained there are two YCAA Directors who have completed their three terms, President Ronald Rice and Director Stanley Gourley. There are three YCAA Directors who are up for re-election, 1st VP Albert Gardner, and 2nd VP Linda Morgan, who have expressed their desire to be placed on the ballot for possible re-election and Director Jonathan Matheus who has removed himself from the re-election process due to time commitments. The Committee expressed their desire to keep the Board diversified with professional from all areas and industries with the interest of the Airport.
The Committee concluded that the advertising process and the advertisement met the needs of the YCAA. The Committee members will review the application for any changes and directed staff to move forward no later than September 6, 2019.
2) Election and Personnel Committee discussion regarding the performance evaluation and existing employment contract of the Airport Director.
Ms. Brown explained the performance evaluation process as stipulated in the Airport Director’s employment agreement. This evaluation, performed by the Board of Directors as a whole involves the utilization of an evaluation form. After discussion the consensus of the committee was to remove page four from the evaluation form. Members of the Committee were provided with the existing Employment Agreement, which contains the Airport Director’s job description which was slightly modified as well.
Staff was directed to disseminate the evaluation form ahead of the meeting, tabulate the responses received and provide the results for consideration at the September 10, 2019 regular meeting of the Board of Directors.

There being no further business before the Committee the meeting adjourned at 1:49PM.
