    Call to Order:
    The Yuma County Airport Authority, Inc. (YCAA) Strategic Planning Committee Meeting of the Board of Directors was called to order at 8:31AM on September 9, 2019 in the Yuma International Airport Conference Room, 2191 E. 32nd Street, Suite 218, Yuma, Arizona 85365. The Presiding officer was Russell Jones, Chairman.

    Bill Craft, Director (exited the meeting at 9:28AM)

    YCAA STRATEGIC PLANNING COMMITTEE MEMBERS ABSENT WERE:
    None

    ALSO PRESENT WERE:
    Gladys D. Brown, Airport Director
    Gerald Hinkle, Jr., Chief Financial Officer
    Andrea Lopez, Executive Assistant
    Minda Davy, Airport Legal Counsel

    CALL TO THE PUBLIC
    There were no Public Comments.

    1) Strategic Planning Committee discussion and possible recommendation regarding the Sublease and License Agreement, operational and financial status of AQST Space Systems Group, LLC.

    Ms. Brown, the Airport Director, provided a summary of AQST’s history at the airport in addition to an overview of the status of their account which includes a balance due of just over $102,000 as of the date of this meeting.

    Ms. Brown updated the Committee on issues addressed at the previous Committee meeting held August 14, 2019 in which the Committee was informed of AQST’s recent request to terminate their lease, which was rejected and the climbing balance of amounts due the YCAA. The Committee, at the August 14 meeting, asked staff to monitor the situation closely and ensure that the lease security, in the form of performance bonds, remains in place. Ms. Brown informed the Committee that the expiring bond discussed at this meeting was in fact replaced.

    The Committee was provided recent correspondence from AQST which indicated their desire to have the lease canceled, but claimed to remit amounts due through August 31, 2019 to the Authority. Ms. Brown informed the Committee of the fact that the Authority has brought on Co-Legal Counsel in Marc Lieberman, a lease termination expert with Kutak Rock, LLC.

    Minda Davy, described to the Committee options developed by legal counsel.

    After a lengthy discussions of options available to ensure the continued viability of the Joe Foss Hangar Facility into the future, the consensus of the Committee was to recommend that the Board of Directors consider action that will:

    1. Amend the current agreement removing Suite 2 from the AQST lease.
    2. Offer a settlement, the terms of which would be decided by the Board, secured by the principles of the organization that would bring their account current.
    3. For AQST to allow for the facilities to be shown to possible tenants for suite 1.
